The Firm assists companies since their incorporation, advising them in the structuring of their corporate governance and shareholders’ relationships, in the organisation of and participation to the meetings of the corporate bodies, in the delegation of functions and powers by the board of directors.
In addition to the corporate advice provided in the company’s ordinary course of business, the Firm assists its clients in the sale and purchase of shares or quotas, in the transfer of businesses, or of  going concerns, in extraordinary corporate transactions, such as conversions, mergers, demergers and contributions, in the negotiation of joint-venture agreements and in the restructuring and liquidation phases.
Furthermore, the Firm advises directly shareholders, directors and members of the controlling bodies of corporations, both in-court and out-of-court, and assists companies in the drafting of Organization and Management Models pursuant to the Legislative Decree no. 231/2001 (concerning criminal liability of legal persons) and of Codes of Ethics. In the framework of the assistance provided to small and medium-sized enterprises, the Firm has been involved in the incorporation of start-ups and innovative SMEs.
Within its corporate law practice, the Firm also assists companies in public law matters connected to their business, including without limitation advice in tenders and competitive procedures for the supply of  goods and services, and has a consolidated experience in the management of local public services and in public and private partnership.
